Thank you for your interest to subscribe to the FlexiO Services (as defined hereunder) offered by LIFEPOWR (as identified hereunder). Please read the terms of use set out hereunder (these “Terms”) carefully as they contain important information about your legal rights, remedies and obligations related to your use of the FlexiO Services (as defined hereunder), which is governed by these Terms.

Unless stated otherwise herein, the FlexiO Services are offered by LIFEPOWR NV, a limited liability company under Belgian law, having its registered offices at Volkstraat 67, 2000 Antwerpen and registered with the Crossroads Bank for Enterprises under company number 0632.577.085 (“LIFEPOWR”).

Paragraph 4.4 — Mobile phone number

You must provide a valid mobile phone number to ensure proper operation of the FlexiO Services. It will be used only for operational purposes (e.g., crisis management and service continuity). Failure to provide a valid number may cause delays or disruptions.

Paragraph 14 — Marketing communications

Marketing communications (newsletters, product updates, promotional offers) are sent only if you explicitly and separately opt in. You may withdraw consent at any time. Clear unsubscribe instructions are provided, in line with LIFEPOWR’s data protection commitments.

1) Definitions

  • “FlexiO”: the solution developed by LIFEPOWR consisting of the energy management solution and grid balancing through the virtual energy community solution.
  • “FlexiO Service(s)”: the energy management services a Client subscribes to and the virtual community services that a Client becomes part of, enabling participation in benefits which may include (without limitation): increased impact on the energy transition, savings on the electricity bill, and additional earnings from delivering flexibility services to the electricity system (“Balancing Services”). In general, the FlexiO Services improve financial efficiency for the Client.

2) Applicability

These Terms apply to the provision of all FlexiO Services by LIFEPOWR to you as the Client of these services (the “Client”).

3) FlexiObox

To start using the FlexiO Services, the Client must have a properly installed, connected, and configured FlexiObox (as defined hereunder), obtainable from any LIFEPOWR partner (see “Onze Partners | LIFEPOWR” on our website).

“FlexiObox” refers to the LIFEPOWR-developed gateway responsible for digital communication on which the FlexiO Service runs. It is installed together with existing or new Compatible Energy Equipment (e.g., solar panels, energy storage systems, (bi-directional) EV chargers, AC/heat pumps; collectively, “Energy Equipment”).

“Compatible” means listed on our Compatibility List (see www.lifepowr.io).

4) FlexiO Services and License

4.1 Background on why the FlexiO Service was created

The UN endorsed the planetary boundaries framework in 2012. In 2022, five boundaries were crossed, including climate change. The EU aims to be climate-neutral by 2050, requiring massive acceleration of renewables and demand-side energy efficiency. To handle daily fluctuations from variable renewables, end-user flexibility is required. The electricity grid must always remain balanced (supply equals demand).

4.2 The FlexiO Service: what is it and how does it work?

LIFEPOWR enables Clients to contribute end-user flexibility in energy consumption. While participating, Clients can save on electricity bills and generate additional earnings from balancing services.

  • Market prices incentivize consumption behavior beneficial to the energy system.
  • The FlexiO Service continuously computes optimal control strategies to maximize Client value, combining Savings on the electricity bill and Additional Earnings from balancing services. It considers your personal parameters (see clause 4.4), market data, weather forecasts, and historical consumption.

Savings on the electricity bill may come from:

  • Reducing cost of energy with dynamic/ToU tariffs: consume or store when prices are low; consume stored energy or sell when prices are high.
  • Optimizing self-generation (e.g., solar): self-consume when prices are low and sell when high.
  • Reducing grid tariffs by avoiding consumption peaks (capacity tariffs).
  • Increased solar yield (hybrid storage converters):
    • Store in battery while injecting to grid, capturing more production.
    • When negative prices are predicted: free battery capacity to capture solar and avoid injecting at negative prices (which would otherwise cost you).

Additional earnings from Balancing Services may come from providing flexibility to:

  • The BRP (Balance Responsible Party) to balance its portfolio.
  • The DSO (Distribution System Operator) to keep the local grid balanced.
  • The TSO (Transmission System Operator) to keep the national grid balanced.

LIFEPOWR acts as both Energy Service Company and Flexibility Service Provider to deliver maximal value.

4.3 Right to Access

The Client grants LIFEPOWR and its subcontractors, solely to provide the FlexiO Services, a non-exclusive, transferable, worldwide right to access the FlexiObox and the Energy Equipment connected to it at the Client’s premises. This right is granted for the term of the FlexiO Services and expires upon termination (see clause 5).

Additionally, the Client must provide/approve:

  • EAN (metering point) for which the Client is owner or authorized;
  • IBAN/BIC for subscription fee debit and payout of Additional Earnings (see 4.8);
  • Verification by LIFEPOWR with the energy supplier, DSO, or via the TSO/national data platform of meter status;
  • Activation of SMR3 metering on the digital meter, if applicable, via the energy supplier/BRP or by requesting it from the DSO (a limited DSO charge may apply);
  • Access to measured/calculated data needed for balancing services and to share such data with relevant parties;
  • Use of the Client’s internet connection—without it FlexiO cannot communicate and cannot generate earnings as per 4.8;
  • Processing of personal data per Article 12 (Data Protection) (numbering continues below).

4.4 Client Responsibilities while Using the FlexiO Service

Technical — The Client is responsible for:

  • Supplying live AC power to the FlexiObox power supply (device must remain ON).
  • Providing a live and stable internet connection and not altering wiring/connections as installed.
  • Providing a valid mobile phone number for operational communications (e.g., urgent issues, device replacement). It will be used only for crisis management and service continuity. Absence of a valid number may cause delays or service disruptions. By providing it, you agree to its use for these purposes per the Privacy Policy.

Informational — The Client must enter/verify accurate, up-to-date EMS inputs:

  • Electricity tariff plan (and, if applicable, fixed/double tariff variants);
  • DSO;
  • Installation address (for location-based services);
  • If collaborating with the Client’s energy supplier, tariff plan data may be automatically shared/updated by the supplier. The Client remains responsible for correctness.
  • Energy Equipment technical configuration (assets present before FlexiObox install, or changes afterward).

These inputs may be amended; amended Terms will be communicated with FlexiO release notes. Inputs are critical for normal operation. LIFEPOWR is not responsible for wrongly entered parameters or their effects.

4.5 Client Requirements to benefit from the FlexiO Service

  • Savings: pay a subscription fee determined by the controlled assets. LIFEPOWR may advise switching to a different tariff to realize full savings potential.
  • Additional Earnings: technical requirements include:
    • Energy Equipment must be supported for grid balancing by LIFEPOWR (not all compatible devices are eligible for both Savings and Additional Earnings), DSO-certified, and have measurements qualified for settlement (TSO accepted).
    • DSO approval of the Client’s Delivery Point (EAN) for participation before aggregation into a Virtual Delivery Point.
    • Passing a Qualification by LIFEPOWR (measurements, communication, response).

Qualified” means capable of participation; enrollment timing is determined by the FlexiO Service. Additional requirements may apply depending on earnings type (e.g., specific supplier contract). Clients will be informed if such requirements apply.

4.6 Permission to use the Energy Equipment

By accepting these Terms, the Client agrees that LIFEPOWR acts as flexibility service provider and controls the Client’s Energy Equipment within its technical design constraints. LIFEPOWR will assist (without guaranteeing outcome) if a manufacturer claims warranty loss due to third-party control. LIFEPOWR is not accountable for any loss of warranty.

4.7 License

For the duration of the Client’s use of the FlexiO Services and upon payment of subscription fees (with FlexiObox correctly installed), LIFEPOWR grants a non-exclusive, transferable license to use the subscribed FlexiO Services.

LIFEPOWR may change subscription fees monthly with 1-month prior notice (via email or MyFlexiO app). If the Client continues to use the Services, the change is deemed accepted; otherwise, the Client may terminate (see clause 5).

The Client explicitly undertakes not to modify, adapt, correct, decompile, reverse engineer, or otherwise act upon LIFEPOWR’s intellectual property. This obligation survives termination.

4.8 Reporting & Payments

  • Monthly reporting (EUR) for both Savings and Additional Earnings.
  • Savings are calculated as the difference between:
    • the current electricity bill (with FlexiO steering) vs a baseline of full consumption without Energy Equipment, valued at a standard variable price.
    • Calculations are independent from your energy supplier and won’t appear on the bill. They depend on available data in FlexiO and their correctness.
  • Subscription fees for Savings are debited per the chosen formula.
  • Additional Earnings are paid out monthly when LIFEPOWR can do so, and according to counterparties’ terms/schedules. Corrections may occur (e.g., penalties due to failed participation).

4.9 Taxes and Surcharges

The Client pays all applicable taxes (e.g., VAT), fees, and surcharges imposed on or based upon provision or use of the FlexiO Services.

5) Term and Termination

  • Services start upon acceptance of these Terms and correct activation of the FlexiObox.
  • The Client may terminate per the subscription’s conditions by informing LIFEPOWR via website contact form or customer app. A minimum notice period applies; termination becomes effective on the first calendar day of the next subscription period.
  • After termination, the Client may use free FlexiO Services (real-time monitoring). Post-termination, monitoring is at the Client’s own risk; LIFEPOWR bears no responsibility or liability (including for Energy Equipment functioning).
  • LIFEPOWR may terminate the Client’s use (including free version) at any time with one month’s notice and without compensation.
  • LIFEPOWR may update/change/suspend/discontinue any/all services or change partners in a country with one month’s notice (or without notice if required by law/governmental order).
  • Earnings accrued prior to expiration/termination are paid out per clause 4.

6) Right of Withdrawal (Consumers only)

A subscription to FlexiO Services is a Distance Contract. You may withdraw within 14 days from account creation and acceptance of these Terms (the “Withdrawal Period”).

To exercise, submit the model withdrawal form (Annex 1 to the Terms) via the website contact form within the Withdrawal Period. LIFEPOWR will confirm receipt by email for electronic submissions.

7) Intellectual Property

7.1 FlexiObox – FlexiO Services

LIFEPOWR owns all right, title, and interest (including IP rights) in and to the FlexiObox, any software related to the FlexiO Services, and all derivatives/modifications/improvements. The Client shall not contest or impair such ownership.

For clarity, nothing in this clause affects the Client’s ownership of the physical FlexiObox device.

7.2 Processed Energy Data

LIFEPOWR Data” means any data related to LIFEPOWR or its activities. The Client fully transfers to LIFEPOWR all rights to data LIFEPOWR obtains in providing the Services (e.g., Client demographics, energy consumption data, service history), subject to applicable personal data rules. This transfer survives termination for data obtained prior to termination.

If the Client no longer wishes to use FlexiO Services (including free), the Client may request deletion of all installation and account data via the contact form. The entire account will be deleted and no further services provided.

8) Regulatory Approval

These Terms are subject to applicable regulatory/governmental authority. If approvals/authority are required for any acts under these Terms, both parties will cooperate to obtain them.

9) Warranties

LIFEPOWR represents and warrants provision of the FlexiO Services in a professional and workmanlike manner and in accordance with industry standards.

LIFEPOWR does not guarantee any savings or earnings. No rights can be derived from LIFEPOWR’s calculations of optimal equipment use.

EXCEPT AS EXPRESSLY PROVIDED, LIFEPOWR MAKES NO OTHER WARRANTIES (EXPRESS/IMPLIED/STATUTORY), INCLUDING MERCHANTABILITY, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE.

10) Limitation of Liability

LIFEPOWR is not liable for indirect, incidental, special, punitive, or consequential damages (including loss of savings, profit, or revenue) resulting from use of the Services, whether based on warranty, contract, or tort, including (for example):

  • Any deviation from Client responsibilities in clause 4.4;
  • Input of wrong data in mobile/web app;
  • Misuse of the app;
  • Disruptions in data connections between FlexiObox and/or Energy Equipment;
  • Damages to home or Energy Equipment due to unexpected behavior (e.g., altered weather or other causes).

LIFEPOWR does not guarantee savings/earnings, nor uninterrupted/error-free operation.

Aggregate liability for all damages is capped at EUR 2,500, except in cases of fraud, willful misconduct, or gross negligence.

Client accepts LIFEPOWR is not liable for any loss of manufacturer warranties resulting from provision of the Services.

11) Force Majeure

LIFEPOWR is excused from delays/failures caused by events beyond reasonable control (e.g., wildfire, flood, war, strike, embargo, governmental requirement, civil/military authority, epidemic, Act of God). Provision of Services is suspended until the event ends.

If such an event lasts more than 3 months, the Client may terminate immediately without compensation or notice period.

12) Data Protection

LIFEPOWR values your privacy and processes personal data in compliance with applicable laws. See the Privacy Policy at www.lifepowr.io.

Where processing is necessary to perform these Terms, providing such data is required. If you refuse/fail to provide necessary data, LIFEPOWR cannot provide the Services and may terminate with immediate effect without compensation.

To provide balancing services, Client data may be shared with relevant third parties (energy supplier/BRP, DSO, TSO, BSP, etc.). They process data under their privacy policies. On request, LIFEPOWR will provide a digital copy or direct you to those policies.

13) Marketing Communications

  • Consent: Marketing communications (newsletters, product updates, offers) are sent only if you explicitly and separately opt in (e.g., when requesting a demo/simulation). Access to requested services is not conditioned on this consent.
  • Withdrawal: You may unsubscribe anytime via the instructions in the message or by contacting LIFEPOWR through the provided channels.
  • Compliance: All marketing communications comply with data protection regulations as detailed in LIFEPOWR’s Privacy Policy.

14) Entire Agreement and Modifications

These Terms constitute the entire agreement regarding the FlexiO Services and supersede prior understandings. LIFEPOWR may unilaterally amend these Terms; amendments apply 10 days after notification. If you do not accept the amendments, you may terminate within that 10-day period.

15) Waiver

No term is waived, and no breach excused, unless in a written, signed waiver. A waiver of one breach does not waive subsequent breaches.

16) Partial Invalidity

If any provision is invalid/unenforceable, the remainder remains in effect. If an essential provision is invalid, the parties will negotiate in good faith to amend it to achieve LIFEPOWR’s original commercial intention to the greatest extent possible.

17) Governing Law – Jurisdiction

These Terms are governed by Belgian law. Courts and tribunals of Antwerp, department Antwerp have exclusive jurisdiction for disputes, without prejudice to consumer rights under Regulation (EU) No 1215/2012 and article 624, 1°, 2° and 3° of the Belgian Judicial Code.
